Terms of Service

By creating an account, accessing, or using ZapPay ("ZapPay", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use our services. We may update these Terms from time to time, and continued use of ZapPay after changes are posted constitutes acceptance of the revised Terms.

ZapPay is a platform that enables merchants and individuals ("Users", "you") to create shareable payment links to collect UPI payments from their own customers. ZapPay acts as a reseller/aggregator interface built on top of third-party UPI payment gateway infrastructure.

To use ZapPay, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction.
• Provide accurate, current, and complete information during registration.
• Be legally permitted to receive digital payments under applicable law.
• Not be barred from using payment services under any sanctions list or regulatory order.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

ZapPay may, at its discretion, request identity or address verification (KYC) documents from you at any time — including before processing a withdrawal — to comply with anti-money-laundering (AML) obligations and to verify that your account is not being misused. We may suspend account features until requested verification is completed.

ZapPay maintains two separate balances within your account:

• Zap Cash — funds collected from successful payments, usable for subscription purchases and withdrawal to your bank account or UPI ID, subject to your plan's wallet limit and withdrawal rules.
• Zap Bonus — promotional or gift credits issued by ZapPay (e.g. via promo codes). Zap Bonus currently has no redemption use — it cannot be withdrawn, transferred, or applied toward subscription purchases. Its function may change in the future at ZapPay's sole discretion, with notice provided in-app.

Wallet balances are not bank deposits and do not earn interest. ZapPay reserves the right to place a reasonable hold on funds where fraud, chargeback risk, or a violation of these Terms is suspected.

ZapPay charges a commission on withdrawals, at a rate determined by your active subscription plan. Subscription plans also determine your monthly payment link quota, wallet limit, link expiry defaults, and withdrawal frequency. Current plan pricing and features are displayed in the app and may be changed by ZapPay with reasonable notice. Subscription fees, once paid, are non-refundable except where required by law.

All UPI payment collection is processed through our third-party payment gateway partner. By using ZapPay, you also agree to be bound by that gateway's applicable terms and KYC requirements. ZapPay is not liable for delays, failures, or errors originating from the underlying gateway, banking network, or UPI infrastructure, though we will make reasonable efforts to assist in resolving such issues.

Withdrawal requests are processed manually or via automated review, subject to the frequency limits of your subscription plan. You are solely responsible for providing accurate payout details (UPI ID or bank account/IFSC). ZapPay is not responsible for funds sent to incorrect payout details supplied by you. A commission, as disclosed at the time of request, is deducted from each withdrawal.

You agree not to use ZapPay to:

• Collect payment for illegal goods or services, including but not limited to narcotics, weapons, counterfeit goods, or stolen property.
• Engage in money laundering, structuring, or terrorist financing.
• Facilitate gambling, betting, satta, lottery, or any wagering activity, whether or not it is prohibited by Indian law in your specific state.
• Sell adult content, or goods/services that infringe third-party intellectual property.
• Engage in fraud, phishing, scamming, identity theft, or misrepresentation of the goods/services being sold.
• Run Ponzi, pyramid, or other schemes designed to deceive or defraud other users.
• Circumvent, disable, or interfere with security features of the platform, or attempt to reverse-engineer our fraud-detection systems.

8.1 Monitoring & Detection

ZapPay actively and continuously monitors account activity, transactions, payment links, withdrawal patterns, and platform usage — without prior notice — to detect and prevent fraud, gambling, scamming, and other violations of this section. By using ZapPay, you consent to this monitoring. We may use automated systems and manual review together, and may request additional information or documentation from you at any time to verify the legitimacy of your activity.

8.2 Consequences of Violation

If we reasonably determine, at our sole discretion, that your account has been used for gambling, fraud, scamming, or any other prohibited activity under this section, we may take any or all of the following actions, with or without prior notice:

• Freeze pending withdrawals — any withdrawal request already submitted or in progress will be placed on hold pending investigation.
• Forfeit wallet funds — Zap Cash and Zap Bonus balances associated with the violation may be seized and forfeited.
• Suspend or terminate your account — immediately and without refund of any subscription fees paid.
• Pursue legal action — including reporting the matter to law enforcement, banking partners, or financial regulators, and pursuing civil or criminal remedies where warranted.

You may set a custom expiry for each payment link you create, or choose "Never Expires." You are solely responsible for the accuracy of the title, description, amount, and any redirect URL associated with your payment links, and for delivering whatever goods or services your customers pay for through them. ZapPay is not a party to the underlying transaction between you and your customer.

ZapPay's referral program rewards you with commission on qualifying activity by users you refer, as described in-app. ZapPay reserves the right to withhold or reverse referral commissions obtained through fraudulent, self-referral, or abusive signup patterns.

We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, engaged in prohibited activity, or where required by law or our payment gateway partner. Where an account is suspended, we will generally display the reason for suspension within the app and provide access to a support channel so you may raise a dispute or request a review. You may close your account at any time by contacting support, subject to settlement of any pending balances.

To the maximum extent permitted by law, ZapPay and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including loss of profits, data, or goodwill, even if advised of the possibility of such damages. ZapPay's total liability for any claim arising from these Terms shall not exceed the total commission fees paid by you in the three months preceding the claim.

You agree to indemnify and hold harmless ZapPay, its team, and affiliates from any claims, damages, or expenses (including legal fees) arising from your use of the platform, your violation of these Terms, or your violation of any applicable law or third-party right.

We may revise these Terms from time to time. Material changes will be notified in-app or via email where possible. Your continued use of ZapPay after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in India.
